Job Purpose
- Manage the whole legal operation in the below areas to support business legal & compliance operation:
- Corporate Licensing (main license & sub license)
- Legal advices to business functions (new & daily business issues & operation, new launches, promotion, advertising….)
- Business contract review & modification (300 mil & up)
- Procedural (legal dispute- conflicts externally: Services providers……)
- Manage & consult legal compliance with all applicable regulations
- Liaison with local law firms/consultant to provide legal consulting & support for Amway’s business operation in Vietnam market
- Manage, revise and register Business Rules of Conduct, Distributor Registration with the licensing authority
- Legal updates & training
Primary Responsibilities
STRATEGY DEVELOPMENT
- Develop & Implement own business operation strategies goals & initiatives in alignment with Long range business plan & Annual Operating Plan for the effective legal licensing management, business legal & compliance counselling & supporting.
PROGRAMS, PROCESSES, SERVICES:
1. Responsible for ensuring that the operation of the company complies with laws and other prevalent regulatory provisions.
- Set up relevant legal processes to better manage the legal risks and protect the company’s interest;
- Study and monitor existing and new laws/regulations, conduct analysis and provide insightful recommendations to assure the company's compliance with applicable laws/regulations;
- Evaluate proposals, action plans and other situations that may have legal impact and determine pertinent course of action as required;
- Conduct legal review necessary to business initiatives.
2. Lead contract management in legal compliance
- Prepares and/or reviews contracts, letters of agreement and other documents to ensure its legal compliance;
- Set up contract management system, ensure the security of company’s transaction and improve the contract approval procedure;
- Review the various business supporting materials printed or published by the company and ensure the legal compliance;
- Provide legal support for disputes arising from contract implementation.
3.Manage business operation licenses application & renewal in due time
- Manage various company and branch licenses nationwide, including the application, revision, renewal, archive and annual government audit, etc…;
- Maintain the relevant charter and memo related to the licenses.
4.Member of Internal Compliance Team
- Ensure the correction of product license, website information, e-commercial, advertising, promotion, and business support materials;
- Develop annual & monthly internal audit master plan for the defined business operation areas for legal compliance improvement;
- Coordinate with Legal Head to propose for legal compliance improvement solutions for approval;
- Organize periodical training/update to relevant business functions for working with external auditors;
- Lead business operation compliance audited by external auditors periodically or annually.
5.Provide legal advice for business development, Rules of Conduct management and registration
- Provide legal view and support to business functions for promotion, advertising, event organization, logistic, and new office opening;
- Review and modify the Business Rule of Conduct (Distributors), Distributors registration form in compliance with new law regulations on direct selling and practical activities;
- Manage lawsuits and arbitrations arising during business operations, including labor dispute and various emergent legal issues;
- Provide follow up on legal issues and make recommendations for system improvement;
- Support the government audit when necessary.
STAFF MANAGEMENT:
- This job holder is individual managerial role but with support Legal Head to coach & develop high performing Legal team;
- Support Legal Head in term of knowledge sharing, guiding and develop staff in both technical aspects, competency and leadership skills.
